By accessing or using the all-in-one services provided by 3dphysics Labs, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you are prohibited from using our services.

The services to be provided are defined entirely by your selected pricing plan. The scope of work is detailed within that chosen plan, and these Terms and Conditions constitute the entire and only service agreement required. We agree to use reasonable efforts to deliver the services as described, but we do not guarantee any specific results.

All payments will be processed according to the terms outlined in your selected pricing plan. Failure to make timely payments may result in the suspension or termination of services.

Due to the digital and non-returnable nature of our services and intellectual property, all sales are final. We do not offer refunds, returns, or exchanges once a payment has been made. This policy applies to all one-time fees and ongoing service charges.

The client is responsible for providing all necessary information, content (text, images, brand assets), and timely feedback required for 3dphysics Labs to complete the services. Delays caused by the client in providing these essential items will impact project timelines but will not alter the agreed-upon payment schedule. The client is solely responsible for ensuring the legality of their content and business practices.

Any intellectual property created or developed by 3dphysics Labs as part of the services shall remain the property of 3dphysics Labs until costs are recouped. Ownership of the completed work will transfer to the client only after payments have been made.

Source Files: Upon IP transfer, the client receives ownership of the final output files (e.g., website code, final image exports). 3dphysics Labs retains ownership of the working and source files (e.g., Photoshop, Sketch, or internal project files) used to create the final work.

Client Termination: The client may terminate the services at any time by utilizing the cancellation feature within their account dashboard.

3dphysics Labs Termination: We may terminate client services for severe reasons, including but not limited to repeated failure to make payments or violations of ethical or acceptable use policies.

Upon any termination, the client is responsible for paying for all services rendered up to the termination date.

Indemnification: You agree to indemnify and hold harmless 3dphysics Labs from any claim, demand, liability, or expense (including legal fees) arising out of or related to your content, your use of the services, or your violation of any third-party rights.

Limitation of Liability: Our total liability to you shall not exceed the amount you have paid to us for the services. 3dphysics Labs shall not be liable for any indirect, incidental, or consequential damages resulting from the use or inability to use our services.

You acknowledge that 3dphysics Labs is not responsible for the policies, outages, or performance of external, third-party platforms (including Google, Meta, X, etc.).

Due to the dynamic nature of search engine algorithms, we cannot guarantee specific search engine ranking positions or organic traffic levels.

Data and Privacy Compliance: The client is responsible for ensuring their website and data collection practices comply with all applicable privacy laws (e.g., GDPR, CCPA, PIPA).

Non-Disparagement: The client agrees not to make any public statements, written or oral, which disparage 3dphysics Labs, its services, or its employees during the term and for two years following termination.

Force Majeure: 3dphysics Labs shall not be liable for any failure or delay in performance of its obligations due to causes beyond its reasonable control (e.g., acts of God, war, pandemic, power failure).

Assignment: The client may not assign or transfer its rights or obligations to any other party without the prior written consent of 3dphysics Labs.

Waiver: The failure to exercise or enforce any right or provision shall not constitute a waiver of such right or provision.

Severability: If any provision of these Terms and Conditions is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

Changes to Terms and Conditions: 3dphysics Labs reserves the right to update or modify these Terms and Conditions at any time. The most current version will always be posted on our website.

Governing Law & Service Location: The services are located in Alberta, Canada. This agreement shall be governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein.
